2020 Annual General Meeting

IMB Bank takes the health and safety of our members, employees and the broader community seriously.

Given the continuing risks and uncertainty faced as a result of COVID-19, the 2020 IMB Bank Annual General Meeting will be held as a virtual meeting, on Monday, 9 November 2020 at 10:30am (AEDT). This year there will not be a physical meeting and instead all IMB Bank members (including Hunter United division members) will be able to participate in the meeting by way of online facilities (i.e. webcast).

The virtual AGM format is in line with the guidance and regulatory relief that regulators have provided to enable companies to hold their AGMs most effectively in these unprecedented circumstances.

What you can expect on the day

You will be able to view a live online webcast of the meeting, submit questions and be able to vote in real time or in advance, subject to meeting the voting eligibility criteria. A full instruction guide to assist members to join the online AGM format is available here and support will be available by phone should you need it.

How To Vote

Members will be able to vote online on the resolutions considered at the AGM during the AGM via the online meeting portal (subject to meeting the voting eligibility criteria). Online voting will be open between the commencement of the Meeting at 10:30am (AEDT) on 9 November 2020 and the time at which the Chair announces voting has closed.

Members and proxyholders who register to vote at the virtual AGM will need to register their details and accept the Terms and Conditions.

 

  • Click on the Join the Virtual AGM link above or go to https://agmlive.link/IMB20
  • In order to be verified as a Member, you will need to provide your IMB or Hunter United division Member Number;
  • If you are an appointed proxy, you will need to enter the Proxy Number issued to you by Link Market Services in the ‘Proxy Details’ section. Link Market Services will contact proxyholders at least 24 hours prior to the start of the AGM to provide them with the proxyholder login information that they will need to enter in the online AGM platform.
  • Click the ‘Register’ button.
  • To vote, click the ‘Get Voting card’ box:
    1.  Your voting card will appear with all of the resolutions to be voted on at the meeting;
    2. Choose the “Full Vote” button
    3. Place your vote by clicking on the ‘For’, ‘Against’, or ‘Abstain’ voting buttons;
    4. Once you have finished voting on the resolutions scroll down to the bottom of the box and click the ‘Submit Vote’ button.

Alternate voting options for members who are unable to join the virtual AGM online:

  • Lodge a proxy vote online before 10:30am (AEDT) on Saturday, 7 November 2020 by clicking on the Vote Now link or going to https://investorcentre.linkmarketservices.com.au/voting/imb
  • Complete and lodge a proxy form (available above), before 10:30am (AEDT) on Saturday, 7 November 2020 using one of the methods specified on the Proxy Form.

How to ask a question

Members will have the option to submit questions during the AGM via the online meeting portal. To submit a question click on the ‘Ask a Question’ box:

  • Select the item of business your question relates to and type your question in the area provided.
  • Once you have typed your question, click the button ‘Submit Question’.

Members are encouraged to submit written questions online in advance of the AGM and can do so by clicking on the Ask a Question link or going to https://investorcentre.linkmarketservices.com.au/voting/imb

An alternate option for members who are unable to submit their questions online is to complete and lodge a Question Form (available above) via one of the specified methods, by Monday, 2 November 2020.

We will attempt to address the more frequently asked questions received in advance of the meeting in the Chairman and Chief Executive’s presentations to the Meeting.

Q: Why is the AGM online?
A: Due to the unique nature of the coronavirus pandemic and the ever-evolving circumstances, it is very difficult to predict what Government advice on social distancing and restrictions on large gatherings will be in place at the time of our AGM. We believe a virtual AGM provides the safest and the most reasonable opportunity for IMB’s 200,000+ members to participate in the 2020 AGM regardless of their location. Our decision is in line with the guidance and regulatory relief that regulators have provided to enable companies to hold their AGMs most effectively in these unprecedented circumstances.

Q: What do I need to access the AGM?
A: You'll need a device with internet access, such as a desktop computer, tablet or mobile device. To join the AGM click on the ‘Join the Virtual AGM’ link above or go to https://agmlive.link/IMB20. You will need to confirm your name and contract information and to vote or ask a question you will need your IMB member number or Hunter United member number.

Q: I don’t know my Member Number – what can I do?
A: You can ask us to provide you with your Member Number by visiting any Hunter United division branch, or by calling Hunter United on 1800 10 10 63.

Q: What browsers are compatible with the virtual AGM platform?
A: Ahead of the meeting, please ensure your browser is compatible with the virtual meeting platform. You can easily check your current browser by going to the website: www.whatismybrowser.com

Supported browsers are:

  • Chrome – Version 44 & 45 and after
  • Firefox – 40.0.2 and after
  • Safari – OS X v10.9 “Mavericks” & OS X v10.10 “Yosemite” and after
  • Internet Explorer 9 and up (please note, Internet Explorer 8 is not supported)

Q: How can I participate if I can’t join the virtual AGM?
A: If you are unable to attend the virtual AGM, you can still lodge a proxy vote and ask questions in advance of the meeting as is the case when the AGM has been held in a physical format. For the first time, members will be able to submit their proxy votes and questions online in advance on the meeting by clicking on the Vote Now link above or going to https://investorcentre.linkmarketservices.com.au/voting/imb. A recording of the virtual AGM will also be available to view at www.imb.com.au/agm within 48 hours of the meeting.

Q: If I vote prior to the virtual AGM can I still attend?
A: Yes – you can login to the virtual AGM from 9:30am (AEDT) on Monday, 9 November 2020 by clicking on the Join the Virtual AGM link above or by visiting https://agmlive.link/IMB20. You do not need to register for a voting card if you have previously voted, However, if you wish to ask a question during the meeting, you will need to register with you Member Number.
